The www.inclusion.vinci-construction.com website (hereinafter the “Site”) is the corporate site of VINCI Construction (hereinafter “VINCI Construction”), whose main purpose is to introduce its work.

Accessing, viewing, browsing and/or using the Site and its services implies full and complete acceptance of these general terms and conditions of use (hereinafter referred to as the “GTCUs”), the purpose of which is to define the terms of use of the Site and its services by any person accessing, consulting, browsing and/or using all or part of the Site and its services (hereinafter referred to as the “User”).

Consequently, before using the Site and its services, Users are invited to take note of these GTCUs. If Users do not agree with any of the provisions of these GTCUs, they are requested not to use the Site and its services.

These GTCUs are accessible at any time on the Site and will prevail, where applicable, over any other version or any other contradictory document.

1. INTELLECTUAL PROPERTY

The Site and all the elements of which it is composed or which are made available to Users – including trademarks, logos, photographs, programmes, source codes, object codes, data, databases, images, whether animated or not, sounds, drawings, graphics, videos, text, layout, appearance, structure, as well as any other element not linked to hyperlinks to third-party sites – are the property of VINCI Construction, or are subject to a licence granted for its benefit by any relevant intellectual property rights holder.

All these elements are subject to the provisions of the French and international regulations applicable to intellectual property, including the intellectual property code and, consequently, are protected against any use not authorised by law or by the present GTCUs, on pain of legal proceedings in the event of failure to comply.

VINCI Construction grants the User, on a personal, non-exclusive and free basis, the right to view and use the Site and its services for its own use and strictly within the framework of the operations authorised under the terms of these GTCUs.

Subject to the rights of use granted to the User by VINCI Construction, use of the Site and its services does not entail any licence or transfer to the User of rights relating to the elements of the Site. In particular, all forms of copying, reproduction, representation, adaptation, modification or distribution of all or part of the Site, as well as all or part of its content, by any process whatsoever and on any medium whatsoever, are unlawful, except with the prior, express and written authorisation of VINCI Construction or the holder of the intellectual property rights.

Non-compliance with these stipulations, in particular for commercial purposes, may give rise to legal proceedings on the basis of an action for infringement and/or unfair competition and/or parasitism on the part of the holders of the rights in question. This is without prejudice to VINCI Construction’s other rights, including the right to obtain compensation for the damage suffered.

2. ACCESS TO THE SITE

Access to the Site is technically possible twenty-four (24) hours a day and seven (7) days a week, subject to the occurrence of a case of force majeure, possible breakdowns or any maintenance operation necessary for the proper functioning of the Site.

Access to some of the services offered on the Site implies filling in the mandatory fields of the form associated with the desired service (such as the contact request). Users guarantee the truthfulness and accuracy of the information that they provide in this context. Users acknowledge in particular that the information which passes through or is stored on such devices may be intercepted or altered independently of the will of VINCI Construction.

In this respect, Users are strongly recommended to take all necessary precautions to protect themselves against the effects of possible computer piracy, in particular by ensuring the secure and appropriate electronic configuration of their computers, mobile phones or any other devices used (for example by installing regularly updated virus detection software).

3. GENERAL OBLIGATIONS UPON USERS

Users undertake to use the Site and its services in accordance with these GTCUs and, in particular, not to use them for commercial purposes, canvassing, solicitation or advertising.

In particular, Users shall refrain from:

  • any behaviour likely to compromise the integrity, operation or security of the information system on which the Site and its services are based;
  • any intrusion or attempted intrusion into the information systems of VINCI Construction or any other VINCI Group company;
  • any breach or attempted breach of the authentication and other security measures of the Site;
  • any form whatsoever of collection, extraction or use of the information on the Site;
  • and more generally, any action that may prejudice the rights and interests of VINCI Construction or any other VINCI Group company.

In the event that VINCI Construction observes a breach or fraudulent use of the Site and its services, VINCI Construction reserves the right to terminate the present contractual relationship, ipso jure, without notice or compensation, and to block any future access by the User to all or part of the Site and its services.

4. RESPONSIBILITY

The Site is provided to the User free of charge. Although VINCI Construction endeavours to provide a reliable Site, it does not guarantee that it is free from errors, inaccuracies or omissions, periods of unavailability, faults or defects. Furthermore, VINCI Construction does not warrant the accuracy, quality, lawfulness or suitability for a particular purpose of the Site, the services offered and the content published on it. Consequently, Users acknowledge that they use the Site, the services offered and the content published on it under their sole responsibility.

Users acknowledge that they have read the GTCUs and undertake to comply with them. Users are solely responsible for the use they intend to make of the Site and its services, as well as for preserving the security and integrity of their data, hardware and software when using the Site or its services in any way whatsoever.

Consequently, VINCI Construction cannot be held responsible for any direct or indirect damage that may result from:

  • any malfunction or contamination of the User’s computer equipment during or after browsing the Site, inability to access or poor usage conditions attributable to such equipment, to the Internet service provider, to congestion on the Internet network, or to any other reason outside VINCI Construction;
  • electronic or telephone communication costs incurred by the use of this equipment, which are the sole responsibility of the User and will not be borne by VINCI Construction;
  • any temporary or permanent interruption of all or part of the Site’s functions, including in the event of maintenance, modification or updating of the Site, a technical incident or, more generally, an occurrence outside of VINCI Construction’s control;
  • any consequences that may arise from the content of third-party websites to which hyperlinks may be found on the Site;
  • any indirect damage suffered by the User;
  • any damage suffered by the User or a third party resulting from use of the Site that does not comply with these GTCUs;
  • any breach of the obligations set out in these GTCUs which is due to or originates from an unforeseeable event or a case of force majeure as defined by Article 1218 of the Civil Code.

Should VINCI Construction be held liable for damage not provided for in this article, its liability shall be limited to proven, actual and direct damage.

Consequently, under no circumstances shall VINCI Construction, its managers, employees and, in general, its representatives and partners, or VINCI Group companies, be held liable for any indirect damage resulting from the use of the Site, the services offered and the content published on it, and in particular for loss of earnings, loss of profit, loss of opportunity or damage resulting from the loss of data caused by an inability to use the Site and its services.

5. CHANGES

The GTCUs are precisely dated and may be modified and updated by VINCI Construction at any time, particularly in the event of changes to the Site or to the applicable regulations

The applicable GTCUs are those published on the Site at the time the User accesses the Site. Consequently, Users are invited to consult the GTCUs each time they access the Site.

This version of the GTCUs replaces all previous versions.

6. CESSATION OF THE SITE

VINCI Construction reserves the right to temporarily or permanently interrupt access to all or part of the Site or the services offered on it; for example, in the event of cessation of the activity linked to the provision of the Site or in the event of collective proceedings.

7. ASSIGNMENT

Subject to applicable law, Users agree that these GTCUs binding them to VINCI Construction may be assigned, transferred or contributed in any way whatsoever. In the event of the company being transferred to a third party, these GTCUs binding the User to VINCI Construction will be automatically transferred to the assignee.

8. HYPERLINKS TO OTHER WEBSITES OR EXTERNAL SOURCES

The Site may include hyperlinks to websites or Internet sources other than those published by VINCI Construction. Insofar as VINCI Construction cannot control these external sites and sources, VINCI Construction cannot be held responsible for the availability of these external sites and sources, and therefore declines all responsibility for the content, advertising, products, services or any other material available on or from these external sites or sources. As a result, the decision to activate the hyperlinks is the User’s alone.

VINCI Construction reminds the User that non-affiliated external sites or sources are subject to their own general terms and conditions of use.

9. VALIDITY OF THE GTCUs

Each of the articles of the GTCUs applies separately. A change in the applicable regulations in force, or a decision by a court or competent authority invalidating one or more articles of the GTCUs, shall not affect the validity of the GTCUs as a whole. Such a modification or decision does not entitle the User to disregard the valid provisions of the GTCUs.

10. LANGUAGE

The present GTCUs are written in French. In the event that they are translated into one or more languages, only the French text shall be deemed to have legal force in the event of a dispute.

11. APPLICABLE LAW / JURISDICTION

These GTCUs and the operations arising from them are governed, interpreted and applied in accordance with French law.

In the event of a dispute relating to their interpretation or performance, VINCI Construction and the User shall seek an amicable agreement before taking any legal action, and shall provide one other with all the necessary information to this end.

In the absence of an amicable agreement between VINCI Construction and the User within two (2) months of notification of the dispute to the other party, jurisdiction is expressly given to the courts of Nanterre.
